1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (whether personally or on behalf of an entity, "Client", "User", or "you") and GROWSIA SOFTWARE & WEB SOLUTIONS ("Growsia", "we", "us", or "our"), governing your access to and use of our website (https://www.growsia.com), the GymOS SaaS platform (gym.growsia.com), and all associated web engineering, hosting, and digital services.

By accessing our website, contracting our development services, subscribing to GymOS, or initiating communication with our business channels, you agree that you have read, understood, and agreed to be bound by these Terms.

2. Description of Services

GROWSIA SOFTWARE & WEB SOLUTIONS operates across two primary divisions under National Industry Classification (NIC) codes 62013 and 63121:

• GymOS (B2B SaaS Platform): A vertical operating system for physical fitness centers, gym administrators, and club owners in India. Features include member CRM, automated receipt generation, check-in heatmaps, income/expense ledgers, and AI-assisted coaching suites.
• Growsia Web Solutions: Custom full-stack website development, responsive design, UI/UX architecture, managed web hosting, SSL deployment, website maintenance, search engine optimization, and commercial business photography.

3. Client Responsibilities & Use of Services

When engaging our services or using our SaaS software, you agree to:

• Provide accurate, current, and complete business information during inquiries, onboarding, and project scoping.
• Ensure you hold appropriate copyright or licensing rights for all text, imagery, logos, and trademarks supplied to us for website development.
• Maintain the confidentiality of your GymOS administrative credentials and take responsibility for all activities conducted under your account.
• Not use our services or platforms for any unlawful, harassing, fraudulent, defamatory, or harmful purposes.

4. Quotations, Pricing & Payment Terms

All service engagements and subscriptions are billed under clear terms:

• Custom Development Projects: Billed on milestone agreements (e.g., initial deposit upon project kick-off, milestone delivery, and final balance payment prior to production deployment and domain transfer).
• GymOS Subscriptions: Software licenses are billed on monthly, quarterly, or annual recurring subscription plans agreed upon onboarding.
• Invoicing: Official digital invoices are issued by GROWSIA SOFTWARE & WEB SOLUTIONS for all transactions.

5. Intellectual Property Rights

Custom Web Projects: Upon complete settlement of all agreed contract fees, full client-specific source code, custom design assets, and content created specifically for your website are transferred to the client. GROWSIA SOFTWARE & WEB SOLUTIONS retains the right to showcase the completed work in our digital portfolio.

GymOS SaaS Platform: All intellectual property rights, algorithms, source code, visual components, documentation, and database schemas of the GymOS software remain the exclusive property of GROWSIA SOFTWARE & WEB SOLUTIONS.

6. Hosting, Uptime & Maintenance SLAs

Web hosting provided by Growsia utilizes tier-1 cloud infrastructure designed for maximum availability and rapid delivery. While we endeavor to maintain 99.9% uptime, occasional scheduled maintenance or upstream infrastructure disruptions may occur. We provide technical support to resolve hosting or configuration issues promptly.

7. Limitation of Liability

To the maximum extent permitted by applicable Indian law, GROWSIA SOFTWARE & WEB SOLUTIONS, its proprietor, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from loss of profits, data, goodwill, or business interruption arising from your use of or inability to use our services or platforms.

8. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any disputes, claims, or proceedings arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Prayagraj (Allahabad), Uttar Pradesh, India.
